Terms of Service for Closo

These Terms of Service (“Terms”) govern the use of Closo’s platform and services (collectively, "Closo," "we," or "us") by sellers, brands, buyers, gig partners, and customers ("you"). By accessing or using the Closo platform, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the platform.


1. Parties Involved

  • Seller: An individual or entity who sources products from Closo, lists them on third-party marketplaces (e.g., Poshmark, eBay), and sells them. The seller pays Closo when the product is delivered to the customer.
  • Buyer: A person or company who purchases products listed by a Closo seller on third-party marketplaces.
  • Brand: Closo’s partner working with Closo to sell unsold stock or manage e-commerce returns.
  • Gig Partner: A seller who manages e-commerce returns and stores them from their home.

2. Services Provided

For Sellers

Closo provides the following services for sellers:

  1. Closo Seller’s Dashboard: An overview of market insights, sales, and product performance.
  2. Crosslister: Allows sellers to list products across multiple marketplaces.
  3. Sharer: Enables sellers to share products with other sellers to increase visibility.
  4. Auto-Offers: Automatic price adjustments for competitive offers.
  5. Auto-lister: Automatically lists products on various platforms.
  6. Track Sales: Track and analyze sales performance across platforms.
  7. Smart Recommendation Powered by AI: Personalized product recommendations based on AI analysis.
  8. Omnichannel Lister: A solution for managing unsold products and cross-listing.
  9. Market Analytics: Insights into market trends, demand, and competition.
  10. Personal AI Sales Insights: Customized insights to help sellers improve sales strategies.

For Brands

Closo provides the following services for brands:

  1. Returns Tracing: Track the status of returns.
  2. Returns Management: Manage returned products and decide on next steps.
  3. Returns Re-distribution: Distribute returned items to other sellers.
  4. Selling Unsold Products from Facilities: Support selling excess stock from brand facilities.

For Customers

Closo provides the following services for customers:

  1. Closo White-label Return Portal: A branded return portal for customers to manage returns.
  2. Network of Drop-off Points: A network of drop-off locations for returns.

3. Usage and Restrictions

  • Stock Pictures: New products with tags may only feature stock pictures if stored at Closo’s partner warehouses. Closo offers these products for resale, and sellers can list them on resale platforms.
  • Data Collection: Closo collects data strictly for the purpose of identifying opportunities for sellers and assisting in the sale of unsold products. This data will not be shared with third parties unless required by law or for the purpose of providing Closo’s services.
  • Integration: Closo integrates with various marketplaces, which may require different connection types. Sellers may need to use the Closo extension or connect directly, depending on the platform.

4. Returns and Reimbursement

  • Returns: Returns are only accepted if the wrong item is shipped to the buyer.
  • Reimbursement: Closo will not provide reimbursement for lost, delivered, or third-party-shipped orders. Closo takes responsibility only if the issue is directly caused by Closo or its employees. In such cases, Closo will reimburse the seller up to 50% of the lost potential net income.

5. Breach of Contract & Bad Faith Business Practices

  • Breach of Contract: If any party fails to perform or comply with the terms outlined in these Terms, the other party may have the right to terminate their engagement or seek remedies as outlined in the applicable agreements or in accordance with applicable law.
  • Bad Faith Business Practices: Closo reserves the right to take appropriate legal actions if any party engages in bad faith business practices, including but not limited to fraud, misrepresentation, or failure to fulfill contractual obligations.

6. Filing a Formal Complaint with the Federal Trade Commission (FTC)

  • If you believe that Closo has engaged in deceptive or unfair business practices, or violated any applicable laws, you may file a formal complaint with the Federal Trade Commission (FTC). The FTC accepts complaints related to business practices that may harm consumers, including deceptive or fraudulent actions.

7. Intellectual Property

  • Ownership of Content: Sellers and brands retain ownership of their product listings, images, and other content provided to Closo. By submitting content to Closo, sellers and brands grant Closo a non-exclusive, worldwide, royalty-free license to use, modify, display, and distribute the content as necessary to provide services on the platform.
  • Trademarks and Copyrights: Sellers and brands are responsible for ensuring that they do not infringe on third-party intellectual property rights when listing products. Closo disclaims any liability for violations of copyright or trademark laws arising from users’ actions.

8. Privacy and Data Protection

  • GDPR and Data Protection: If you are located in the European Union (EU), Closo complies with the General Data Protection Regulation (GDPR). Personal data will be processed in accordance with applicable laws. By using Closo’s services, you consent to the processing of your personal data as described in our Privacy Policy.
  • Data Usage: Closo collects and processes data to provide its services, including market insights and recommendations. Personal data will not be shared with third parties unless required by law or for the purpose of providing Closo’s services.

9. User Conduct and Prohibited Activities

  • Prohibited Activities: You agree not to engage in any of the following activities:
    • Fraudulent activities or misrepresentation of products.
    • Violation of any intellectual property rights (e.g., using counterfeit product images or descriptions).
    • Harassment, spam, or any behavior deemed inappropriate by Closo.
  • Account Suspension and Termination: Closo reserves the right to suspend or terminate accounts involved in prohibited activities or for any other reason that violates the Terms of Service.

10. Dispute Resolution

  • Arbitration: Any dispute, claim, or controversy arising out of or in relation to these Terms shall be resolved through binding arbitration, rather than in court, in accordance with the rules of the American Arbitration Association (AAA).
  • Mediation: Before initiating arbitration, the parties may attempt to resolve disputes through mediation.

11. Force Majeure

Closo shall not be held liable for any failure to perform its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of terrorism, war, strikes, or governmental regulations.


12. Payment Terms

  • Product Sales: Sellers are responsible for paying Closo when a product sourced from Closo is sold and delivered to the customer. Payment for product sales will be due upon delivery of the product to the customer.

  • Subscription Services: For subscription-based services, sellers are required to pay in advance before receiving any services. Payment terms and service fees may vary based on the specific service or plan selected


13. Indemnification

Sellers, brands, and gig partners agree to indemnify and hold Closo harmless from any and all claims, losses, damages, and expenses arising out of their use of the platform, including but not limited to claims related to intellectual property infringement, fraud, or breach of these Terms.


14. Third-Party Links and Services

Closo may provide links to third-party websites or services. These links are provided for convenience, and Closo is not responsible for the content, products, or services offered by those third parties.


15. General Terms

  • Account Responsibility: Users are responsible for all activities that occur under their account and agree to notify Closo immediately of any unauthorized use.
  • Termination: Closo may terminate or suspend access to the platform for violations of these Terms.
  • Changes to Terms: Closo reserves the right to modify these Terms at any time. Notice of any changes will be posted on this page.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Closo’s liability for any damages arising out of the use of the platform or services will be limited to the amount paid by the user for the specific service or product in question.


17. Governing Law

These Terms will be governed by and construed in accordance with the laws of the jurisdiction where Closo is headquartered.
